Re: Prepayment Guarantee
We, the undersigned [Company Name], hereby issue this Prepayment Guarantee in favor of [Recipient Name] (hereinafter referred to as the "Beneficiary"), in accordance with the terms and conditions stated herein.
1. We undertake, without demur or delay, to pay to the Beneficiary the amount of [Amount in Words] [Currency] ([Amount in Figures]), upon receipt of Beneficiary's first written demand in the event that the Supplier/Contractor, [Supplier/Contractor Name], fails to deliver the [Goods/Services] within the agreed timeframe specified in the contract between the Supplier/Contractor and the Beneficiary, as evidenced by a valid and timely written notice of default issued by the Beneficiary.
2. The Prepayment Guarantee shall remain valid until the delivery of the [Goods/Services] under the contract or until the expiration of [Expiry Date] (which is [number] days/months/years from the date of this guarantee), whichever occurs earlier.
3. We irrevocably undertake to honor any demand made under this guarantee, irrespective of any dispute or difference that may exist between the Supplier/Contractor and the Beneficiary, which shall not be a ground for non-payment under this guarantee.
4. This guarantee is transferable and may be assigned by the Beneficiary to any assignee without our consent, provided that the assignment is notified to us in writing.
5. Our liability under this guarantee shall not exceed the amount of [Amount in Words] [Currency] ([Amount in Figures]) stated herein, and shall automatically expire upon payment of such amount to the Beneficiary.
